At Sielox, Inc., our business practices and our conduct are governed by established policies and procedures. To provide the appropriate checks and balances, three committees have been established which oversee the operations of the company. These committees are: the Audit Committee, the Compensation Committee and the Nominating and Corporate Governance Committee.
The Audit CommitteeThe Audit Committee oversees the integrity of the Company’s Financial Statements, legal/regulatory compliance, independent auditors qualifications and the performance of the audit function.
The Compensation Committee establishes the company’s basic business philosophy as the foundation for all policies and programs regarding fair and equitable employee remuneration. The Committee reviews and monitors the development of compensation programs to ensure alignment with corporate objectives and shareholders’ interests.
The Nominating and Corporate Governance Committee provides assistance to the Board of Directors in fulfilling the responsibility of oversight of appropriate, effective and efficient governance of the Company, including identifying qualified candidates for the Board of Directors and Committee members. The Committee is also responsible for the development of governance principles, policies and procedures for the operations of the Board.
